Terms of Service

GrantWise Canada provides a software-as-a-service (SaaS) platform that:

- Maintains a searchable database of Canadian federal, provincial, and private grant programs - Uses artificial intelligence to match your business profile to relevant grant opportunities - Generates draft grant application text based on your business profile and selected grant - Tracks grant application status and deadlines

GrantWise is a software tool, not a grant consulting firm, law firm, or financial advisor. We do not represent you to government agencies, file applications on your behalf, or guarantee funding outcomes. All application drafts generated by our AI are starting points — you are responsible for reviewing, customizing, and submitting applications.

To access full features, you must create an account using Google OAuth authentication. You agree to:

- Provide accurate and complete information when creating your account - Maintain the security of your account credentials - Notify us immediately of any unauthorized access to your account - Accept responsibility for all activities that occur under your account

You must be at least 18 years old and a Canadian resident or business owner to use our services. Accounts may not be shared between multiple users or organizations without an appropriate multi-seat plan.

GrantWise offers the following subscription tiers (all prices in CAD plus applicable taxes):

- Starter: Free — limited to 3 grant searches, 1 AI draft per month - Pro: $79/month — unlimited searches, 10 AI drafts per month - Business: $249/month — unlimited everything, white-label reports - Agency: $999/month — multi-client management, API access

Billing: Subscriptions are billed monthly in advance. By providing payment information, you authorize GrantWise to charge your payment method on a recurring monthly basis.

Free Trial: Pro plans include a 7-day free trial. You will not be charged during the trial period. Cancel before the trial ends to avoid charges.

Cancellation: You may cancel your subscription at any time from account settings. Your subscription remains active until the end of the current billing period. No refunds are provided for unused portions of a billing period.

Price Changes: We may change subscription prices with 30 days notice. Your continued use after the price change effective date constitutes acceptance.

GST/HST: Applicable Canadian sales taxes will be added to all subscription fees based on your province of residence.

You agree to use GrantWise only for lawful purposes and in accordance with these Terms. You must not:

- Submit false or misleading business information to generate grant applications - Use our AI-generated applications without review and customization — submitting our drafts verbatim without verification is your responsibility - Attempt to gain unauthorized access to our systems or other user accounts - Use our services to violate any Canadian federal or provincial law - Resell or redistribute our platform or content without prior written consent - Use automated means (bots, scrapers) to access our services without authorization

GrantWise reserves the right to suspend or terminate accounts that violate these terms without refund.

Our platform uses artificial intelligence to generate grant application drafts. You acknowledge that:

- AI-generated content may contain errors, omissions, or inaccuracies - You are solely responsible for reviewing all AI-generated content before submitting to any grant program - GrantWise does not guarantee that AI-generated applications will be accepted, comply with specific program requirements, or accurately represent your business - You should have AI-generated content reviewed by a qualified professional (accountant, business advisor, or grant consultant) for high-value applications such as SR&ED claims

Grant applications submitted based on GrantWise output are submitted under your own responsibility.

GrantWise Content: The GrantWise platform, including our software, database structure, and original content, is owned by GrantWise Canada Inc. and protected by Canadian and international intellectual property law.

Grant Database: Information about government grant programs is derived from public government sources and is not proprietary. However, our curation, categorization, and database structure is our intellectual property.

Your Content: Business profile information and application drafts you generate remain your property. By using our platform, you grant GrantWise a limited license to process your content for the purpose of providing our services.

AI Output: Application drafts generated for you are for your use. You may edit and submit them as your own. You may not resell or redistribute AI-generated drafts as a consulting service without an Agency plan.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, GRANTWISE CANADA INC. SHALL NOT BE LIABLE FOR:

- Grant applications being rejected, regardless of whether they were generated using our platform - Inaccuracies in grant program information in our database - Lost business opportunities resulting from grant rejections - Indirect, incidental, special, or consequential damages

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM, OR (B) $100 CAD.

This limitation does not apply to personal injury, death, or damages caused by our gross negligence or willful misconduct.

GRANTWISE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: - Our platform will be error-free or uninterrupted - Grant information in our database will always be current or complete - AI-generated applications will meet any specific grant program's requirements - Your business will qualify for or receive any specific grant

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of our services shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be resolved by binding arbitration in Toronto, Ontario under the Arbitration Act, 1991 (Ontario).

Nothing prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction.

We may modify these Terms at any time. We will provide at least 14 days notice of material changes via email or in-platform notification. Your continued use of GrantWise after the effective date of changes constitutes your acceptance of the revised Terms.
